Changchun advised Company V, a startup providing solutions for the full automation of factories and logistics centers using AI and digital twin technology, on a financial investment (FI) round raised from a government-funded foundation, global venture capital firms and others.
In this transaction Changchun reviewed Company V's articles of association ahead of the round and went on to advise successfully across the transaction as a whole, including negotiating the terms and drafting the related new share subscription agreement. Company V thereby secured the means to give shape to its business vision and carry it out.
Changchun also advised on Company V's stock option grant agreements.
Granting stock options requires not only satisfying the strict requirements laid down by the Commercial Act and related legislation but also weighing the interests of the company and its officers and employees as a whole.
Changchun accordingly advised on the full range of issues, including adjustments to the exercise price and the number of exercisable shares and the grounds for cancelling a stock option grant agreement.
